bioXell S.p.A / BioXell informs about settlement of Cosmo offer processed and transmitted by Hugin AS. The issuer is solely responsible for the content of this announcement. 

Milan, Italy, 11 March 2010 - Cosmo Pharmaceuticals S.p.A. informed BioXell that
the   offer   according   to   the  Offer  Prospectus  (as  published  by  Cosmo
Pharmaceuticals  S.p.A. on  8 December 2009) has  been executed  as of today. In
accordance  with  the  transaction  agreement  between  Cosmo  and  BioXell, the
directors  of the  board of  BioXell have  resigned at  settlement of the offer.
Pursuant  to Italian law,  the resigned members  of the board  of directors will
remain  in office until the general meeting of shareholders elects new directors
of  the  board.  Upon  request  by  Cosmo,  BioXell will invite for such general
meeting to take place by the end of March 2010.
